1Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Sabtech (“Company”, “we”, “us”) and the client (“Client”, “you”). By accessing our website, approving a project proposal, issuing a purchase order, or engaging our engineering team, you agree to be bound by these Terms.

2Scope of Services & Project SOW

All engineering work, design milestones, architecture consulting, and deliverables are governed by an agreed Statement of Work (SOW) or formal Proposal.

• Change Requests: Any features, design revisions, or third-party integrations outside the agreed SOW will be scoped separately under a written change order with associated timelines and costs.
• Client Feedback & Approvals: Timely project delivery requires responsive client collaboration. Delays in feedback, content delivery, or asset handoff may adjust milestone target dates.

3Milestone Payments & Invoicing

Unless otherwise specified in a custom agreement, commercial projects follow a milestone-based billing framework:

• Project Kickoff: Advance commitment deposit upon contract signing.
• Alpha / Beta Milestones: Intermediate progress payments following scheduled module demos.
• Final Deployment: Final balance invoice due prior to production server deployment or code handoff.
• Late invoices exceeding 14 calendar days may pause development sprints until accounts are settled.

4Client Content & Materials

Clients represent and warrant that all text, branding assets, trademarks, photographs, and datasets provided to Sabtech are either owned by the Client or that the Client holds valid licenses. The Client indemnifies Sabtech against any third-party copyright or trademark infringement claims resulting from client-supplied assets.

5Post-Launch Warranty & Support

We stand firmly behind our engineering quality. Sabtech provides a complimentary 30-day Post-Launch Warranty commencing upon final deployment. During this warranty window, we resolve any reproducible bugs, broken layouts, or functional defects originating from the agreed scope at zero additional charge.

Long-term server maintenance, continuous feature expansion, and third-party API version migrations are available through our ongoing Retainer Support Plans.

6Limitation of Liability

To the maximum extent permitted by applicable law, Sabtech shall not be liable for indirect, incidental, special, or consequential damages resulting from lost profits, server downtimes caused by hosting providers, third-party cyber attacks, or Client alterations to production codebases. In all instances, Sabtech's total aggregate liability is strictly capped at the total amount paid by the Client under the specific project SOW.

7Governing Law & Jurisdiction

These Terms and any project contracts entered into with Sabtech shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes that cannot be settled amicably shall be subject to the exclusive jurisdiction of the competent courts in Bangladesh.
